Terms of Service for XFish1

Please read these Terms of Service ("Terms", "Agreement") carefully before using the XFish1 application or related websites (collectively, the "Service") operated by SGFOutdoors LLC ("Company", "We", "Us", or "Our").

By creating an account, downloading, or accessing the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.

1. Subscription & SaaS Services

A. Grant of License

Subject to your compliance with these Terms, SGFOutdoors LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the XFish1 Software-as-a-Service (SaaS) application on your personal devices solely for your personal or internal business operations.

B. Subscriptions & Renewal

Billing: Certain features of the Service are provided on a paid subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis (e.g., monthly or annually), depending on the plan you select.
Auto-Renewal: Unless canceled, your Subscription will automatically renew at the end of each billing cycle under the same conditions.
Cancellation: You may cancel your Subscription at any time through your account settings or through the respective Mobile App Store (Apple App Store or Google Play Store) from which you purchased the Subscription. Cancellation will take effect at the end of the current paid billing period.

C. Refunds & Fee Changes

Non-Refundable: Except when required by law or specified by Apple/Google App Store policies, paid subscription fees are non-refundable.
Price Adjustments: We reserve the right to modify subscription fees. We will provide you with reasonable advance notice of any price changes via email or in-app notification.

2. User Accounts & Responsibilities

Registration: To use certain features, you must register for an Account. You agree to provide accurate, complete, and updated information.
Account Security: You are responsible for safeguarding your login credentials and for all activities that occur under your account. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
Age Restriction: You must be at least 13 years old (or the legal minimum age in your jurisdiction) to use the Service.

3. Acceptable Use & Prohibited Conduct

You agree not to misuse the XFish1 Service. Specifically, you shall not:

Reverse engineer, decompile, disassemble, or attempt to derive the source code of XFish1.
Modify, frame, mirror, or create derivative works based on the Application.
Rent, lease, lend, sell, sublicense, or distribute the Service to any third party.
Use any automated scripts, web crawlers, or data-mining tools to extract data from the Application.
Use the Service for any unlawful, fraudulent, or harmful purpose, including violating local fishing, wildlife, or environmental regulations.
Upload malicious code, viruses, or content that infringes upon the intellectual property or privacy rights of others.

We reserve the right to suspend or terminate your access immediately if you violate these rules.

4. User-Generated Content & Data

Ownership: You retain ownership of all content, logs, photos, coordinates, or data you submit to or record within the Service ("User Content").
License Grant: By posting or uploading User Content, you grant SGFOutdoors LLC a worldwide, non-exclusive, royalty-free license to host, store, display, reproduce, and process such content solely as necessary to operate, maintain, and improve the Service.
Data Accuracy: XFish1 may provide mapping, weather, tide, or navigational assistance. You acknowledge that fishing logs, mapping features, and environmental data are for informational purposes only. You are solely responsible for ensuring safe navigation and compliance with local environmental laws.

5. Intellectual Property Rights

The Service, including its software, visual interfaces, graphics, design, compilation, information, data, computer code, and branding, is the exclusive property of SGFOutdoors LLC and its licensors. You obtain no ownership rights in or to the Service or related trademarks.

6. Service Availability & Termination

Service Availability: While we strive to maintain high uptime, we do not guarantee uninterrupted or error-free operation. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with or without notice.
Termination by You: You may stop using the Service and request account deletion at any time via your account settings or by emailing admin@xfish1.com.
Termination by Us: We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

SGFOUTDOORS LLC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ACCURATE, COMPLETE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SGFOUTDOORS LLC, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THIS SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO SGFOUTDOORS LLC IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.

9. Indemnification

You agree to defend, indemnify, and hold harmless SGFOutdoors LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) resulting from your violation of these Terms or your use of the Service.

10. Governing Law & Dispute Resolution

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Alabama, United States, without regard to its conflict of law provisions.
Dispute Resolution: Any legal action, suit, or proceeding arising out of or related to these Terms or the Service shall be instituted exclusively in the state or federal courts located in Lee County, Alabama.

11. Third-Party App Store Requirements

If you accessed or downloaded XFish1 through the Apple App Store or Google Play Store, you acknowledge that:

These Terms are between you and SGFOutdoors LLC only, not with Apple Inc. or Google LLC.
Apple and Google have no obligation whatsoever to furnish any maintenance or support services with respect to the Application.
Apple and Google are third-party beneficiaries of these Terms and will have the right to enforce these Terms against you.

12. Changes to Terms

We reserve the right to update or modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.
